1. Agreement
By visiting the site, joining the waitlist, connecting a port, or calling a Toolports MCP endpoint, you agree to these Terms, the EULA, and the Privacy Policy. If you use the service for an organization, you represent that you can bind it. If you do not agree, do not use the service.
2. The service
Toolports hosts ports: HTTPS MCP servers that connect an AI client you choose to a business system you authorize (“Connected Services”). QuickBooks Online at qbo.toolports.com is the first port. Other ports (including field-service tools) are offered under the same terms when they go live, except where a port page says otherwise.
We may change, suspend, or discontinue features, including early-access ports. We do not promise that a port implements every API of the Connected Service. Read-only is the default; writes are gated.
3. Access and credentials
You must keep bearer tokens, OAuth grants, and admin access confidential. You are responsible for all activity through your tokens and connected tenants, including calls made by AI agents, teammates, and integrations you enable. Tell us promptly if you believe a token leaked. We may revoke access if we reasonably believe there is abuse or risk to the service or a Connected Service.
4. Your AI clients and agents
A port does what your MCP client asks, within safety gates we ship (authentication, write flags, allowlists, confirmations). You authorize those clients to read and, if you enable writes, to change Connected Service data. You are responsible for:
- Which agents and people may call the port
- Prompts, tools, and workflows you configure
- Reviewing results before relying on them
- Any bill, invoice, payment, email, or other action posted to a Connected Service
We do not operate your AI vendor. We do not guarantee that an agent will call the right tool, use the right amounts, or follow your books’ policies. Never invent numbers: live API data only, and you remain responsible for the books.
5. Connected Services
Ports call third-party APIs (including Intuit QuickBooks Online and any future provider). Your use of those products is solely between you and them. You must:
- Have a valid account and the right to connect the company or tenant
- Comply with their terms, API limits, and app policies
- Only request scopes and operations you are allowed to use
Toolports is not affiliated with, endorsed by, or an agent of Intuit Inc., Jobber, or other Connected Service brands except as a third-party developer using published APIs. If a provider suspends our app or your connection, the port may stop until that is resolved.
6. Your data
You retain all rights to your Connected Service content and files you upload to a port. You grant Toolports a limited license to host, transmit, and process that content solely to provide the service, as described in the Privacy Policy. You represent that you have all rights needed to submit it, including personal data of customers, vendors, and staff that appears in your books.
7. Acceptable use
You will not:
- Break the law, or process data you are not allowed to process
- Probe, overload, or disrupt the service except via documented interfaces
- Share bearer tokens in public repos, screenshots, or query strings
- Bypass write gates, confirmation tokens, or allowlists
- Use a port to spam, scrape in violation of a provider’s terms, or send customer email except through supported, confirmed operations
- Resell or white-label the hosted service without a written agreement
- Misrepresent that Toolports audited or certified your books
8. Early access
Ports and the waitlist may be pre-release. Features can change, break, or disappear. Early access is provided as-is so you can evaluate the product. Production accounting workflows should keep writes disabled until you have tested reads against the Connected Service UI.
9. Fees
Current early access may be free. We may introduce paid plans (for example a monthly fee per connected organization). We will post prices and obtain agreement before charging. Provider API fees, Intuit subscriptions, and AI-client costs are yours.
10. Intellectual property
Toolports, the site, port software, and marks are ours or our licensors’. These Terms do not transfer ownership. Feedback you send may be used to improve the service without obligation. Connected Service names and logos belong to their owners.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that ports will be uninterrupted, error-free, or that reports will match a Connected Service UI in every case. We are not your accountant, bookkeeper, or fiduciary.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLPORTS AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). These limits are a basis of the bargain and apply regardless of the theory of liability.
13. Indemnity
You will defend and indemnify Toolports against claims arising from your use of the service, your Connected Service tenants, your agents’ actions, your content, or your violation of these Terms or applicable law.
14. Term and termination
These Terms last while you use the service. You may stop at any time and disconnect Connected Services. We may suspend or terminate access if you materially breach these Terms, if a provider requires it, or if we discontinue a port. Sections that should survive (including 6, 10–13, 15) do survive. After termination we delete or anonymize port data as described in the Privacy Policy, except where we must retain it.
15. Governing law
These Terms are governed by the laws of the State of California, USA, excluding conflict-of-law rules, unless mandatory local law says otherwise. Courts in San Francisco County, California have exclusive jurisdiction, except that we may seek injunctive relief anywhere. Informal resolution first: email hello@toolports.com before filing.
16. Miscellaneous
These Terms, the EULA, and the Privacy Policy are the entire agreement for the service. If a term is unenforceable, the rest remains. We may update these Terms by posting a new effective date; material changes apply going forward. You may not assign the agreement without our consent; we may assign it in a reorganization or sale. Failure to enforce a term is not a waiver.
