1. License grant
Subject to this EULA and the Terms of Service, Toolports grants you a limited, non-exclusive, non-transferable, revocable license to access and use the hosted port software (the “Software”) during your subscription or early-access period, solely to connect MCP clients you control to Connected Services you are authorized to use.
The Software includes every current and future port we host for you — starting with QuickBooks Online at qbo.toolports.com — and related documentation. This is a license, not a sale. We and our licensors retain all right, title, and interest in the Software.
2. Permitted use
You may:
- Point supported MCP clients at your port URL over HTTPS
- Complete OAuth to Connected Services you administer
- Call documented tools for that port, including reads and, if you enable them, allowed writes
- Store optional port-side files (documents, tasks, memory) that the Software offers for your tenant
Use is for your internal business purposes, or for a client’s tenant if you are an authorized advisor or operator of that tenant and they have agreed to these terms.
3. Restrictions
You may not, and may not allow others to:
- Copy, modify, or create derivative works of the Software except as the law allows for interoperability
- Reverse engineer the Software except to the extent that prohibition is not permitted in your jurisdiction
- Rent, sublicense, or offer the Software as a competing hosted MCP service to third parties without a written partner agreement
- Remove proprietary notices
- Circumvent authentication, write kill-switches, allowlists, or confirmation tokens
- Use the Software to violate a Connected Service agreement or to access data you do not have rights to
4. Third-party and open-source components
The Software calls third-party APIs and may include open-source components under their own licenses. Connected Service trademarks stay with their owners. Nothing here grants you a license to Intuit, Jobber, or other provider SDKs beyond what those providers grant you directly.
5. Your clients and content
MCP clients, prompts, and Connected Service tenants are yours (or your licensors’). You are responsible for configuring them. Output the Software returns is generated from live provider APIs and optional files you stored — we do not independently verify that it is complete or suitable for filing, audit, or tax.
6. Updates and versions
We may update the Software at any time. Tool names for a port are intended to stay stable; new tools may appear. Breaking changes will be described in docs when we can. You are not entitled to a particular build, host, or uptime except as we later commit in a paid order form.
7. Support
Unless a paid plan says otherwise, support is best-effort via hello@toolports.com. Early-access ports may have no SLA.
8. Term
This license lasts until you stop using the Software or we terminate it under the Terms (including for breach, provider requirements, or discontinuation). On termination the license ends. You must drop stored bearer tokens from your clients. Provider disconnect and data deletion follow the Privacy Policy.
9. Export and government
You will not use or export the Software in violation of U.S. or other export rules. If you are a U.S. government user, the Software is commercial computer software licensed with only those rights customarily provided to the public.
10. Warranty disclaimer and liability
THE SOFTWARE IS LICENSED “AS IS.” Disclaimers, liability caps, and indemnity in the Terms of Service apply to this EULA and are incorporated here. If this EULA and the Terms conflict on license scope, this EULA controls; on everything else, the Terms control.
11. General
Governing law and venue match the Terms. We may update this EULA by posting a new effective date. Continued use is acceptance. Contact: hello@toolports.com.
